AnsweredLine
The agreement every Answered Line client accepts before service starts.
These Terms of Service ("Terms") are a binding agreement between Good Days Systems LLC, a Tennessee limited liability company doing business as Answered Line ("Answered Line," "we," "us"), and the business that signs up for the service ("Client," "you"). By checking the box to accept these Terms, submitting the sign-up form, paying for any plan, or using the service, you agree to these Terms. If you do not agree, do not use the service.
"Protected Parties" means Good Days Systems LLC; its members and managers, including David Schmutz and Kelly Williamson; its and their officers, employees, contractors, agents, successors, and assigns; and every affiliate — any company or business owned or controlled, in whole or in part, by Good Days Systems LLC, David Schmutz, or Kelly Williamson, including Smarter Scapes LLC.
The service is sold only to businesses. You confirm that you are signing up on behalf of a business, that you are at least 18 years old, and that you have authority to bind that business. Consumer-protection laws that apply only to personal or household purchases do not apply to this agreement.
Answered Line provides an automated, AI-powered receptionist that answers calls and texts, takes messages, answers questions using information you supply, transfers designated callers, books appointments when enabled, and sends call summaries. Higher plans and add-ons may include CRM, follow-up messaging, estimators, marketing, and other tools. We may change, improve, or discontinue features at any time. Your plan, price, included minutes, and add-ons are those shown at checkout or on your order.
The service is not a 911, emergency, medical, alarm, or life-safety service and must never be relied on for one. The receptionist may fail to recognize an emergency, fail to transfer, or be unavailable. You are solely responsible for telling your callers how to reach emergency services and for any emergency or urgent matter that comes in on your line.
The service runs on artificial intelligence and third-party telephony, messaging, and software providers. It can mishear, misunderstand, misstate information, give an incomplete or wrong answer, drop or fail to answer a call, fail to transfer, fail to book, or be unavailable during outages. The service is provided "as is" and "as available." We do not guarantee any number of calls answered, leads, bookings, jobs, revenue, uptime, or any particular call outcome, and we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
You are solely responsible for the accuracy and legality of everything you give us or the receptionist — business hours, services, prices, policies, FAQs, scripts, transfer numbers, and calendars. The receptionist repeats what you provide. You must test and approve the receptionist before it goes live, and your approval confirms its configuration is acceptable to you. You are responsible for reviewing call summaries, messages, and bookings promptly and acting on them. We are not responsible for any quote, price, promise, or statement the receptionist makes based on information you supplied or approved.
You are solely responsible for complying with all laws that apply to your business and your use of the service, including:
All fees are non-refundable, including for partial months, unused minutes, unused features, downgrades, or periods of suspension, except where the law requires otherwise. Before disputing any charge with your bank or card issuer, you agree to contact us in writing and give us 10 business days to resolve it. A chargeback or payment dispute filed without doing so, or for charges properly due under these Terms, is a breach of these Terms: we may suspend or terminate the service immediately, and you will owe the disputed amount plus a $50 dispute fee and any collection costs.
A number you port in remains yours. A number we provide is licensed to you while your account is active and in good standing; you may request to port it out within 30 days after your service ends, after which it may be released. You will pay any carrier porting fees. We are not responsible for carrier delays, rejections, or outages, or for calls missed during porting.
We (and our licensors) own the service and everything we build to provide it — including the receptionist's prompts, scripts, agent configurations, workflows, automations, templates, snapshots, estimators, knowledge-base structure, websites, and any improvements, even when built using your feedback or tailored to your business. You receive a limited, non-exclusive, non-transferable right to use the service during your subscription. You may not copy, resell, sublicense, white-label, reverse engineer, export, or recreate the service or its configurations, or use them to build a competing product. Feedback you give us may be used freely without obligation to you.
You own your contacts, call recordings, transcripts, and the business information you provide. You grant us a license to use it to provide, maintain, secure, and improve the service. We may use de-identified and aggregated data for any lawful purpose. You may request an export of your data while your account is active and for 30 days after it ends; after that we may delete it. Our Privacy Policy describes how we handle personal information.
During your subscription and for 12 months after it ends, you will not directly or indirectly hire, engage, or solicit any of our employees, contractors, or service providers who worked on your account to provide similar services to you outside of Answered Line.
We may identify you as a client by name and logo on our website and in marketing materials. You can opt out at any time by writing to us. Testimonials, reviews, or videos you provide may be used in our marketing without additional compensation.
The service depends on third-party providers (including phone carriers, AI, voice, messaging, CRM, scheduling, and payment platforms). Their outages, changes, policies, or failures are outside our control, and we are not responsible for them. Your use of any third-party service you connect is governed by that provider's terms.
You will defend, indemnify, and hold harmless each Protected Party (including Good Days Systems LLC, David Schmutz, Kelly Williamson, and all affiliates) from and against any claims, demands, losses, damages, fines, penalties, judgments, settlements, and costs (including reasonable attorneys' fees) arising out of or related to: (a) your use of the service; (b) information, content, prices, or instructions you provide; (c) your violation of these Terms or of any law, including call-recording, TCPA, telemarketing, text-messaging, privacy, and health-information laws; (d) any claim by your customers, callers, employees, or other third parties relating to calls, messages, bookings, or work handled through the service; and (e) your negligence or misconduct.
To the fullest extent permitted by law: (a) no Protected Party is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost jobs or leads, missed calls or appointments, lost data, business interruption, or reputational harm, even if told they were possible; and (b) the total combined liability of all Protected Parties for all claims arising out of or relating to the service or these Terms is limited to the fees you actually paid us in the one (1) month before the event giving rise to the claim. These limits apply regardless of the legal theory and are an essential part of the price you pay.
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules, and the Federal Arbitration Act. Subject to Section 18, the state and federal courts located in Davidson County, Tennessee have exclusive jurisdiction, and you consent to that venue.
